Terms of Use
Effective Date: April 1, 2025
These Terms of Use ("Terms") govern access to and use of the SOAR K12 web application and related
services (the "Service") provided by SOAR K12, LLC ("SOAR K12," "we," "us," or "our"). By accessing
or using the Service, you agree to be bound by these Terms.
1. Eligibility and Authorized Use
The Service is available only to:
- Authorized employees and contractors of subscribing K-12 school districts ("Districts"); and
- Students and parents or guardians to whom a District has granted access.
Access is granted by your District and is subject to any additional policies or acceptable-use
guidelines established by your District. You must be at least 13 years of age, or access must be
facilitated by a District in compliance with applicable law, to use the Service.
2. Accounts and Credentials
You are responsible for maintaining the confidentiality of your login credentials. You agree to:
- Keep your password or SSO credentials secure and not share them with others
- Notify your District administrator immediately of any unauthorized access to your account
- Log out after each session when using shared devices
SOAR K12 is not liable for losses resulting from unauthorized account access due to your failure
to maintain credential security.
3. Acceptable Use
You agree to use the Service only for its intended educational purposes and in compliance with all
applicable laws. You must not:
- Access data belonging to students, teachers, or schools outside your authorized scope
- Attempt to probe, scan, or test the vulnerability of the Service or bypass any security measure
- Introduce malware, viruses, or other malicious code
- Scrape, harvest, or systematically download data from the Service
- Use the Service to transmit unsolicited communications or harass any person
- Impersonate any person or entity or misrepresent your affiliation with any organization
- Reverse-engineer, decompile, or attempt to derive source code from the Service
4. Educational Records and Data
Student data in the Service constitutes educational records under FERPA and applicable state law.
Your District controls access to and use of student data. You may access student data only as
authorized by your District and only for legitimate educational purposes. Unauthorized disclosure of
student data is prohibited and may violate federal and state law.
5. Intellectual Property
The Service, including its software, design, and documentation, is the proprietary property of
SOAR K12 and is protected by copyright and other intellectual property laws. Your District's
subscription grants a limited, non-exclusive, non-transferable right to access and use the Service
during the subscription term. No ownership interest in the Service is transferred to you or your
District.
Data uploaded or generated by your District (including student records, course data, and assignment
results) remains the property of your District.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform
maintenance, updates, or emergency changes that temporarily affect availability. We will provide
reasonable advance notice of scheduled maintenance where practicable.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
AND NON-INFRINGEMENT. SOAR K12 DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS
WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOAR K12 AND ITS OFFICERS, EMPLOYEES, AND
CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN
IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOAR K12'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL
NOT EXCEED THE FEES PAID BY YOUR DISTRICT TO SOAR K12 IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law
principles. Any dispute arising under these Terms shall be resolved by binding arbitration under the
rules of the American Arbitration Association, except that either party may seek injunctive relief in
any court of competent jurisdiction to prevent irreparable harm.
10. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page with an
updated effective date and notify subscribing Districts by email. Continued use of the Service after
the effective date of any change constitutes acceptance of the revised Terms.
11. Termination
Your access to the Service may be terminated by your District at any time or by SOAR K12 upon
material breach of these Terms. Upon termination, your right to access the Service ceases immediately.
Sections 4, 5, 7, 8, and 9 survive termination.
